ESOP calculator

Options granted, the exercise price, today's value and the vesting schedule. See how many options have vested, what they are worth today, and the gain at an exit price.

  1. Enter options granted, the exercise price and today's value.
  2. Enter the vesting period, cliff and months since grant.
  3. See vested options, value today and the gain at an exit price.
  • Vesting and cliff: Options vest over time, often 4 years. With a 1-year cliff nothing vests in the first year, then 25% vests at once and the rest monthly.
  • Exercise: To own shares you pay the exercise price for vested options. Check the window to exercise if you leave.

Cap table dilution calculator

Your stake today, the pre-money valuation, the amount you raise and any ESOP pool top-up. See the post-money valuation and everyone's share after the round.

  1. Enter today's stakes for founders, ESOP pool and others.
  2. Enter the pre-money valuation and amount raised.
  3. Add any ESOP pool top-up and see everyone's share after the round.
  • Post-money: Pre-money valuation + amount raised. The new investor's stake = amount raised ÷ post-money.
  • Pool top-up: When investors ask for a bigger ESOP pool before the round, it dilutes existing holders, not the new investor.

Start-up compliance checklist

Company type, team size, turnover and how you sell. See the registrations and filings that apply to you today, tick them off, and open a free guide or tool for each.

  1. Pick your company type and what you sell.
  2. Enter employees, turnover and years since incorporation.
  3. See what applies, tick what is done and open a guide for each.
  • GST thresholds: GST registration is needed above ₹40 lakh turnover for goods or ₹20 lakh for services in most states (lower in some), and from the first sale for inter-state goods sellers and most e-commerce sellers.
  • Labour thresholds: PF applies at 20 or more employees, ESI at 10 or more where notified, and the POSH Internal Committee at 10 or more. Many start-ups register early to offer PF as a benefit.

Burn multiple and Rule of 40

Net burn and new recurring revenue for the same period, plus growth and margin. See your burn multiple, your Rule of 40 score, and how investors are likely to read them.

  1. Enter net burn and net new ARR for the same period.
  2. Enter year-on-year growth and profit margin.
  3. See the burn multiple, its rating and your Rule of 40 score.
  • Burn multiple: Net burn ÷ net new ARR. It shows how many rupees you burn to add one rupee of yearly recurring revenue. Lower is better.
  • A common scale: Under 1 is amazing, 1 to 1.5 great, 1.5 to 2 good, 2 to 3 needs a look, above 3 is a warning. Early start-ups often run higher.

First hires cost planner

List the roles you plan to hire with their monthly CTC. See the monthly payroll, the full year-one cost with hiring, laptops and software, and how many months of runway it uses.

  1. List the roles, people and monthly CTC.
  2. Enter hiring, laptop and software costs per person.
  3. See monthly payroll, year-one cost and runway used.
  • CTC is not the whole cost: Add hiring fees, laptops, software, office or co-working seats and the founders' time spent hiring and training.
  • Hire for the next 12 months: Hire the roles that unblock revenue or product first. Each hire should have clear goals for the first 90 days.

Start-up stack planner
