Terms and Conditions

1. About these terms

These Terms and Conditions (“Terms”) govern your access to and use of the websites, platforms, applications and services of USR INFOTECH Solutions Private Limited (“USR INFOTECH”, “we”, “our” or “us”), together the “Services”.

By accessing or using the Services, you agree to these Terms. If you are accepting them on behalf of an organisation, you confirm that you are authorised to do so. If you do not agree, please do not use the Services.

2. Definitions

• Customer: an organisation that subscribes to the Services directly from USR INFOTECH.
• Reseller Partner: a business authorised by a written agreement with USR INFOTECH to resell or refer the Services.
• End Client: an organisation that uses the Services through a Reseller Partner.
• Partner App: an application or service from a third-party vendor that USR INFOTECH makes available through USR Apps™.
• User: any individual who accesses the Services, including employees of a Customer or End Client.
• Platforms: aim performance™, OKR Stars™, Skills2Talent™ Essential, USR Apps™ and any other software we make available.
• Customer Data: data that a Customer, End Client or their Users enter into or upload to the Platforms.
• Agreement: a signed order form, subscription agreement, partner agreement or proposal accepted between you and USR INFOTECH.

3. How these terms work with your agreement

These Terms apply to every use of the Services. Where you have a signed Agreement with us, that Agreement governs pricing, term, service levels and any special conditions, and it prevails over these Terms if the two conflict. Our Privacy Policy, Cookie Policy and Data Security statement form part of these Terms.

4. Accounts and access

You are responsible for keeping login credentials confidential and for all activity under your accounts. Customers and Reseller Partners are responsible for granting and removing User access and for assigning appropriate roles. Please tell us immediately at support@usrinfo.tech if you suspect unauthorised access.

5. Acceptable use

You must not:

• use the Services for any unlawful, harmful, fraudulent or unauthorised purpose;
• attempt to access, copy, modify or reverse-engineer the source code;
• bypass or disable security, access or licence controls, or probe the Services for vulnerabilities without our written permission;
• upload malicious code, or content you do not have the right to share;
• resell or provide the Services to third parties except under a Reseller Partner agreement.

6. Your data

Customer Data belongs to the Customer or End Client. We process it only to provide, secure and support the Services, as instructed by you and as described in our Privacy Policy. For personal data, the Customer (or End Client) acts as the data fiduciary or controller, and USR INFOTECH acts as the data processor.

On request, and as set out in your Agreement, we will help you export your Customer Data during the subscription and at its end, after which it is deleted in line with our retention practices.

7. AI features

Some Platforms include AI-assisted features, such as goal suggestions, feedback summaries and review insights. AI output can be incomplete or inaccurate. It is provided to support, not replace, human judgement. Customers remain responsible for decisions about their people, including ratings, promotions, compensation and exits, and should review AI output before acting on it. Our AI management system is certified to ISO/IEC 42001.

AI features use large language models from third-party providers. Where we offer a choice, you can select the model or provider for your account. The providers we use are named on our Sub-processors page.

8. USR Apps and partner apps

USR Apps includes applications built by USR INFOTECH and Partner Apps. Each listing states which of the following applies:

• Offered by USR (under the USR brand, or co-branded and bundled): you contract with and are billed by USR INFOTECH. We remain responsible to you for the app, and the partner acts as our sub-processor where it handles Customer Data.
• Sold by the partner: you contract with and are billed by the partner, under its own terms and privacy policy. USR INFOTECH is responsible only for our own Platforms and for the integration between the systems.

Integrations with services you choose, such as an HRMS, ERP or CRM, single sign-on or productivity tools, are enabled only with your authorisation and use the minimum access needed. You can revoke that access at any time. The third party’s own terms apply to its service.

9. Fees and payment

Direct Customers: fees, billing frequency and plan inclusions are set out in your Agreement or on our pricing page. Prices are quoted in INR or USD and exclude applicable taxes such as GST, which are charged in addition. Prepaid fees are non-refundable unless your Agreement says otherwise.

Reseller Partners: licence fees and billing terms are governed by your partner agreement. Reseller Partners are responsible for their End Clients’ licence usage and renewals.

Usage-based AI charges: some AI features or applications with high AI usage may be charged by consumption, measured in tokens or prepaid credits, as set out in your Agreement or order form. Unused credits and their validity follow the terms of that Agreement.

If fees remain unpaid after reminders, we may suspend access until the account is brought up to date.

10. Service availability and support

We work to keep the Services available and secure, and we schedule planned maintenance to limit disruption. Support channels and response times are described in your Agreement or plan. Service levels apply only where an Agreement specifies them.

11. Deployment options

The Platforms are normally hosted by USR INFOTECH as a cloud service. On request, and as set out in your Agreement, we may host your account on another cloud provider or region, or deploy the software in your own private cloud or on-premises environment.

For customer-hosted deployments, you are responsible for the infrastructure, its security, backups and availability, and for giving us the access we need to install, update and support the software. Service levels, update schedules, AI features and fees for such deployments are agreed in your Agreement. The software remains licensed, not sold, and USR INFOTECH keeps all rights in it.

12. Intellectual property

All software, designs, content, trademarks and other materials in the Services, excluding Customer Data, are owned by USR INFOTECH or its licensors. Reseller Partners receive only the limited rights set out in their written partner agreement. Feedback you share with us may be used to improve the Services without obligation to you.

13. Confidentiality

Each party will protect the other’s confidential information with at least reasonable care, use it only for the purpose of the relationship, and not disclose it except as required by law or permitted by the Agreement.

14. Suspension and termination

We may suspend or terminate access to the Services if there is a material breach of these Terms or the Agreement, non-payment, suspected fraud, or a security risk to the Services or other customers. Where reasonable, we will give notice and an opportunity to fix the issue first. On termination, licences end and Customer Data is handled as described in section 6.

15. Disclaimers and limitation of liability

Except as expressly stated in an Agreement, the Services are provided “as is” and “as available”, without warranties of any kind, including fitness for a particular purpose and non-infringement.

To the extent permitted by law, USR INFOTECH is not liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue or data. Our total liability for any claim relating to the Services is limited to the fees paid by you for the Services in the twelve months before the claim, unless your Agreement sets a different limit.

16. Governing law and jurisdiction

These Terms are governed by the laws of India. The courts in Bengaluru, Karnataka, have exclusive jurisdiction over any dispute arising from them.

17. Changes to these terms

We may update these Terms from time to time. We will post the updated version on this page with a new “last updated” date, and we will notify Customers of material changes. Continued use of the Services after changes take effect means you accept them.
