Introduction
Welcome to USR INFOTECH Solutions Pvt. Ltd. (“Company”, “we”, “our”, or “us”). These Terms of Use (“Terms”) govern your access to and use of our websites, platforms, applications, services, and any associated content or technologies (collectively, the “Services”).
By accessing or using any of our Services, you (the “User”) agree to be bound by these Terms. If you do not agree to these Terms, do not access or use our Services.
1. Definitions
USR INFOTECH refers to USR INFOTECH Solutions Pvt. Ltd., the owner and licensor of the platform and services.
Reseller Partner refers to any authorized B2B entity that licenses and resells our platform under a white-label agreement.
End Client refers to the customers or users of the Reseller Partner utilizing the platform.
User includes Reseller Partners, their clients, or any individual accessing or using the Services.
Platform refers to any of our white-label solutions, including Aim Performance, OKR Stars, Skills2Talent, or other products.
2. Account Responsibilities
Users are responsible for maintaining the confidentiality of their login credentials and for all activity under their account. You agree to notify us immediately of any unauthorized access or use.
3. Intellectual Property
All content, code, design, features, and functionality within our Services are owned by USR INFOTECH or its licensors and are protected by international copyright, trademark, and other intellectual property laws.
White-label partners are granted limited, non-exclusive, non-transferable rights to brand and customize the platform as outlined in the licensing agreement. No part of the platform may be copied, republished, distributed, or reverse-engineered outside the agreed-upon use.
4. Usage Restrictions
Users must not:
Misuse the Services in any unlawful, harmful, or unauthorized manner.
Attempt to access or alter source code.
Use the platform for any purposes outside the intended business use.
Circumvent or disable any security or license management features.
5. Payment & Licensing Terms
All license agreements, subscription fees, and billing terms are governed by specific contracts between USR INFOTECH and the Reseller Partner. Resellers are responsible for ensuring compliance by their clients regarding license usage and renewals.
Non-payment or breach of agreement terms may result in temporary suspension or permanent termination of access.
6. Termination & Suspension
We reserve the right to suspend or terminate access to any part of our Services at any time, without notice, in cases of suspected violation of these Terms, fraud, non-payment, or breach of agreement. Upon termination, the license granted shall immediately cease.
7. Disclaimers & Limitation of Liability
Our Services are provided “as is” and “as available,” without warranties of any kind. We disclaim all warranties, express or implied, including fitness for a particular purpose and non-infringement.
USR INFOTECH shall not be liable for any indirect, incidental, special, or consequential damages arising from the use or inability to use our platform.
8. Governing Law & Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of the Republic of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka
9. Modifications
We reserve the right to update or modify these Terms at any time. Continued use of the Services after any changes constitutes acceptance of those changes. You are advised to review this page periodically.
